Important Disclosure Statement

For purposes of this disclosure statement, “Users'' are defined as individuals who sign up for GreenPortfolio’s third-party investment adviser referral service. Once a User has entered into an advisory relationship with a referred third-party investment adviser, they are considered a “Client” of the referred investment adviser.

 

GreenPortfolio Inc. (“GreenPortfolio”) matches Users with third-party investment advisers (individually “Advisor” and collectively “Advisors”). When matching Users with Advisors, GreenPortfolio provides information about each Advisor including services offered, professional background, licensing information, and other important disclosures. 

 

GreenPortfolio is not an investment advisory client of any of the Advisors which we match with Users. GreenPortfolio and each Advisor are independent entities under separate ownership and control. 

 

GreenPortfolio has entered into a written agreement with each Advisor pursuant to which GreenPortfolio refers Users to the Advisor in exchange for an ongoing fee from the Advisor. GreenPortfolio will only receive compensation from an Advisor if the User chooses to become an investment advisory Client of the Advisor. GreenPortfolio will not charge or assess an investment advisory fee to a Client. However, each Advisor will pay GreenPortfolio a percentage of the ongoing advisory fee charged by an Advisor to the Client. When signing an agreement with GreenPortfolio, the Advisor(s) agree that the aggregate fees charged to any Client will not exceed the fees that such Client would have paid to the Advisor in the absence of the compensation payable by the Advisor to GreenPortfolio.

 

GreenPortfolio’s receipt of referral fees from Advisors provides it with an incentive to recommend Advisors which have agreed to pay GreenPortfolio referral fees. This results in a conflict of interest. Another conflict of interest exists for GreenPortfolio because, although GreenPortfolio charges every Advisor the same percentage based fee, because different Advisors have higher or lower advisory fees, GreenPortfolio has an incentive to recommend Advisors who charge higher fees because this can result in more overall compensation payable to GreenPortfolio. However, GreenPortfolio matches Users with Advisors through the use of algorithms which not only do not incorporate fee structures, but which are designed to match Users with Advisors based on the best interests of the Users.

 

Users should be aware that there are most likely other investment advisor firms which are not participating in GreenPortfolio’s third-party investment advisor program but could effectively provide advisory services at a lower cost. As a result, there is no obligation for a User to utilize the investment advisory services of any Advisor recommended by GreenPortfolio, and a User should conduct his or her own additional independent due diligence before engaging an Advisor. It will be solely the responsibility of the prospective Client and Advisor to determine whether to enter into investment advisory agreement; GreenPortfolio does not have authority to accept an investment advisory agreement on behalf of Advisor or to collect or receive payment in its own name for any investment advisory services of Advisor. All services and fees charged by an Advisor should be detailed and outlined in the written agreement you execute with the Advisor. GreenPortfolio is not authorized to provide investment advice on behalf of or through Advisor. 

 

No guarantees can be made by GreenPortfolio that financial goals or objectives of a Client will be achieved by working with an Advisor.

 

Users and Clients can obtain a copy of GreenPortfolio’s Form ADV Part 2A disclosure brochure and Form Customer Relationship Summary (CRS) by downloading such documents through these links. You may also print or save a copy of this disclosure for your records.

 

Your acknowledgement of receipt of (1) this disclosure, (2) GreenPortfolio’s Form ADV Part 2A and (3) GreenPortfolio’s Form CRS will be electronically recorded by GreenPortfolio, and may be provided to each matched Advisor for purposes of complying with SEC regulations.
